The short version
- You are the sender. You are responsible for consent and compliance for every message to your contacts.
- Your confirmations count. When you check a permission box, Reflane relies on it and does not verify it.
- You own your data. Reflane never sells it, and you can export it or ask us to delete it.
- Cancel any time. Your plan runs to the end of the period you have paid for, then stops. Fees are non-refundable.
This summary is for convenience. The full Terms below are what apply.
These Terms of Service (the “Terms”) are an agreement between you and Reflane, Inc., a Delaware corporation (“Reflane,” “we,” “us”). They govern your use of the Reflane web application at app.reflane.com, the Reflane mobile app, referral and status pages, and related services (together, the “Service”). By creating an account, checking the box that you agree to these Terms, or using the Service, you agree to these Terms. If you use the Service for a business, you agree on behalf of that business and confirm you have authority to do so; “you” then includes that business.
Please read sections 4 and 5 carefully. They make you responsible for the consent and compliance of your outreach. Sections 15 to 17 limit Reflane’s liability and require you to protect Reflane from claims caused by your use of the Service.
1Who can use Reflane
The Service is for business use by insurance, mortgage, financial and similar professionals who are at least 18 years old. You are responsible for keeping your login details secure, for turning on the security features we offer when you can, and for all activity under your account. Tell us promptly at hello@reflane.com if you believe your account has been accessed without permission. If you have a separate written agreement or order form with Reflane, such as a pilot arrangement, it controls where it conflicts with these Terms.
2What Reflane is
Reflane is software that helps you run a referral practice. Depending on your plan, it lets you import and organize relationships, prepare and send referral asks by email, prepare texts, schedule one-time and recurring asks, give clients a personal referral link where they can introduce people to you, notify you when an introduction arrives, track introductions through your pipeline, draft follow-ups and thank-you notes, and see recommendations about who to ask next.
Reflane is not a law firm, compliance department, broker-dealer, insurance agency, lender or CRM of record, and nothing in the Service is legal, regulatory, tax, financial or compliance advice. Reflane does not guarantee that you will receive referrals, introductions, clients or revenue, and does not guarantee that any message will be delivered, opened or read.
3How messages are sent
Email. Referral asks by email are sent through Reflane’s email provider from a Reflane address, in your name (for example, “Your Name via Reflane”), with replies directed to your own email address. Reflane adds an unsubscribe link and a physical postal address to every commercial email it sends, and you may not remove or obscure them.
Texts. How texts work is described in section 5.6.
Timing and safeguards. To protect recipients and deliverability, the Service applies cooldown periods between asks, sends automatic recurring asks only within a daytime sending window in your account’s time zone, limits bulk actions by plan, and may hold, delay or skip a message, for example when permission is missing, a person has opted out, your subscription is inactive, or delivery status is uncertain. A message cannot be recalled once it has been handed to a provider.
Delivery status. “Sent” means a provider accepted the message for delivery. “Delivered” is shown only when the provider reports it and does not mean the message was read. Bounces and spam complaints reported by the provider may cause Reflane to stop sending to that address automatically.
4You are responsible for your outreach and your compliance
You are the sender of every message sent through or prepared by the Service, including emails sent in your name, automated texts, and texts you send from your own phone. You are solely responsible for making sure your contacts, your messages and your use of the Service comply with every law, regulation and rule that applies to you, including the CAN-SPAM Act, the Telephone Consumer Protection Act (TCPA), state telemarketing, privacy and consumer protection laws, the Gramm-Leach-Bliley Act where it applies, insurance, securities and lending regulations, rules on referral payments and rebating, and the policies of any carrier, broker-dealer, lender, employer or regulator you work with. You are also responsible for keeping any records those rules require you to keep, including approvals of message content where your firm requires them.
5Permission confirmations, consent and your responsibility
This section explains what you promise each time you confirm permission in Reflane, what Reflane does and does not do with those confirmations, and who is responsible when a confirmation is missing or wrong. It limits Reflane’s responsibility and places responsibility for consent on you.
5.1What counts as a Permission Confirmation
A “Permission Confirmation” is any action in the Service by which you tell Reflane that you may contact a person, or that you choose to contact them. It includes:
- checking “I have permission to contact this person through the selected channel” when you add or edit a relationship;
- checking “This person explicitly agreed to receive texts from me” for a phone number;
- confirming the permission statement when you import relationships or confirm permission for several relationships at once;
- creating, approving, scheduling, editing or choosing “Send now” for an ask, and choosing automatic recurring asks for a relationship;
- choosing “I sent it” after sending a text from your own phone; and
- any similar box, button, field, setting or statement the Service adds later for the same purpose.
Leaving a required box unchecked, or failing to update a confirmation that is no longer true, is also your responsibility under this section.
5.2What you promise each time
Each time you make a Permission Confirmation, you represent and warrant to Reflane that, at that time:
- the confirmation is true and complete;
- you personally know the person or have an existing business or personal relationship with them, and you did not obtain their details from a purchased, rented, shared or scraped list;
- you have every consent the law requires to contact that person through that channel and for that purpose, including any prior express written consent required for texts, and the consent covers messages sent through or prepared by the Service;
- the person has not revoked consent, opted out, asked not to be contacted, or been placed on a do-not-contact list you are required to honor;
- for texts, the phone number belongs to that person and is a number they authorized you to text; and
- you can produce evidence of that consent if Reflane, a regulator, a court or the person asks.
5.3Keeping confirmations current
You must update or remove a Permission Confirmation as soon as it stops being true. That includes when a person revokes consent, asks you to stop, changes their phone number or email, or when your relationship with them ends. A new phone number needs a new SMS confirmation.
5.4How Reflane uses Permission Confirmations
Reflane relies on your Permission Confirmations to decide whether a message may be prepared or sent. Reflane does not verify, investigate or audit them, and it has no duty to do so. Reflane keeps a record of when and how each confirmation was made. That record reflects only what you told Reflane. It is not proof that you obtained valid consent, and it does not replace the consent records you are required to keep yourself.
5.5Opt-outs and revocations
Reflane automatically honors unsubscribe requests made through the links in emails sent by the Service. People may also opt out or revoke consent directly to you, for example by replying to a message, texting STOP to your phone, calling or emailing you. You must record every such request in the Service promptly, and in any case within the time the law requires (currently no more than 10 business days under the CAN-SPAM Act and the TCPA), and you must not contact that person again through the channel they opted out of unless they give new consent. You must not re-add, re-import or re-confirm a person who has opted out.
5.6Texts
Texts from your own phone. By default, when you choose to text someone, Reflane prepares the wording and opens your messaging app. You decide whether to send, and the text is sent by you, from your own device, through your own carrier. Reflane does not send those texts and does not dial numbers automatically.
Automated texting. If automated texting is enabled for your account, Reflane sends texts on your behalf through its messaging provider, only to numbers with an SMS Permission Confirmation. Reflane processes STOP and similar replies it receives as opt-outs. You remain the sender of those texts and are responsible for the consent they require.
Either way, you are solely responsible for every text sent to your contacts, including consent, content, timing and honoring opt-outs.
5.7People introduced to you
When a client submits an introduction, the client confirms they have permission to share the introduced person’s details. That permission covers a personal follow-up from you only. It is not consent to marketing messages, automated messages or texts. You must not add an introduced person to recurring asks, send them texts, or send them marketing messages unless you obtain their own consent first.
5.8Compliance features are aids, not guarantees
Reflane includes features such as permission checkboxes, unsubscribe links, opt-out and bounce suppression, sending limits, cooldown periods, message templates and permission records. They are designed to help you, but they do not make your outreach compliant, they may not cover every law or rule that applies to you, and they may not work perfectly. Reflane’s providing, changing or removing any such feature does not make Reflane responsible for your compliance.
5.9What Reflane is not responsible for
To the fullest extent allowed by law, Reflane is not responsible or liable to you or anyone else for any claim, demand, investigation, fine, penalty, statutory damages, settlement, loss or expense arising from or related to:
- your failure to check, complete, update or remove any permission, consent, attestation or confirmation box, button, field or setting in the Service, or your checking or confirming one inaccurately;
- any Permission Confirmation that was untrue, incomplete, outdated or unsupported by valid consent;
- your failure to obtain, record, keep or produce consent, or to honor an opt-out, revocation or do-not-contact request, including one made to you outside the Service;
- any message sent, scheduled, approved or allowed to send, manually or automatically, to a person who had not given the permission required by law;
- the content, timing, frequency or channel of any message you write, edit, approve or send, including AI-assisted drafts;
- texts, calls or other messages you send from your own phone, email or accounts; and
- your contact with people introduced to you in a way section 5.7 does not permit.
These matters are your responsibility, and section 17 requires you to defend and compensate Reflane for them.
5.10Complaints, inquiries and cooperation
You must tell Reflane at hello@reflane.com within 5 business days if you receive a complaint, demand, lawsuit or regulatory inquiry that involves messages sent through or prepared by the Service. You will cooperate with Reflane’s reasonable requests, including by providing consent records for the people involved.
5.11Reflane may pause sending
Reflane may pause sending, disable features, or suspend an account without prior notice if complaints, unsubscribes, bounces, spam reports or other signals suggest that messages are being sent without valid consent, or if continuing could harm recipients, Reflane’s sending reputation or other customers. Pausing is a protective step. It does not mean Reflane has taken on any responsibility for your compliance.
6Referral links and introductions
Each relationship can have a personal referral link. Anyone who has the link can use it to submit introductions to you without an account, so share it only with the person it was made for. People who submit introductions confirm that they have permission to share the details they submit. Introduced people are never added to your outreach automatically. You agree to follow up with introduced people personally and lawfully, as section 5.7 describes, to honor any request they make not to be contacted, and not to offer or pay anything for referrals that the law or your regulators prohibit.
7Acceptable use
You will not use the Service to: send spam or contact purchased, rented, shared or scraped lists; contact anyone who has opted out; upload Social Security numbers, account or policy numbers, health information, financial account details or other sensitive personal information (contact details and a short relationship note are all the Service needs); send unlawful, deceptive, discriminatory or harassing content; impersonate anyone or misstate who a message is from; create additional records to get around an opt-out; share your login; or interfere with, probe, reverse engineer, scrape or overload the Service.
8AI features and recommendations
Drafts. Some features suggest message wording using artificial intelligence. To write a draft, the Service sends the relevant relationship details you entered, such as a first name, relationship context and product of interest, to our AI provider, which processes them under commercial terms that do not allow it to train its models on that data. When AI is unavailable, the Service uses standard templates. Suggestions may be inaccurate or unsuitable. Review every message before it is sent; you are responsible for any message you send or approve.
Recommendations. Features that suggest who to ask, when, or how to follow up, including Cortex, are suggestions based on your data. They are not advice, may be wrong, and do not replace your judgment. You decide what to send.
Ask Reflane. The guide on reflane.com and in the help center answers general questions from Reflane’s published help and pricing. It has no access to your account and its answers may be incomplete. Your account, these Terms and checkout control over anything it says.
9Your data
Ownership. You keep ownership of the relationship, contact, introduction and message data you add to or create in the Service (“Customer Data”). You give Reflane permission to host, copy, process and transmit Customer Data only as needed to provide, secure, support and improve the Service, to comply with law, and as described in our privacy notices. Reflane does not sell Customer Data or share it for advertising.
Our role. For Customer Data about your clients and contacts, Reflane acts as your service provider and processes it on your behalf and under your instructions. You are responsible for having the right to add it to the Service and for any notices or consents that requires.
Separation and security. Each account’s data is kept separate from every other account. Reflane uses reasonable administrative, technical and physical safeguards to protect Customer Data, but no system is completely secure. If we become aware of unauthorized access to your Customer Data, we will notify you without undue delay and as the law requires.
Export, deletion and retention. You can export your relationships at any time. Deleted relationships stay in Recently Deleted for 30 days, during which you can restore them. You can request deletion of your account in the app or by emailing us from your account email; outreach stops when you request it, and we confirm by email when deletion is complete. We may keep limited records after deletion where needed to honor opt-outs and suppression, to meet legal, tax or billing obligations, or to resolve disputes, and copies in backups are removed on our normal backup schedule.
Service data. Reflane may use data about how the Service is used, in aggregated or de-identified form that does not identify you or your contacts, to operate, secure and improve the Service.
10Plans, capacity and billing
Plans and capacity. Each plan includes the features and the number of active relationships (relationships enabled for referral asks) shown on our pricing page or at checkout. Storing contacts and receiving introductions do not count toward capacity. If you reach your capacity, you can pause other relationships or change plans. Changing or downgrading plans does not delete your stored data.
Subscriptions. Unless you have a separate agreement, an active or trialing subscription is required to schedule or send asks. Paid plans are billed in advance through our payment processor, Stripe, for the billing period you choose, and renew automatically until canceled. If we offer a free trial, it converts to a paid subscription at the end of the trial unless you cancel before then.
Founding memberships. A limited number of founding places may be offered at a founding rate. Starting checkout may reserve a place temporarily; only successful payment confirms it. An inquiry, a signup or anything said by our website guide does not award a place. How long the founding rate applies is stated at checkout. Cancellation does not reopen a claimed place for others.
Cancellation. You can cancel at any time from your billing settings or by contacting us. Cancellation takes effect at the end of your current paid billing period: the current month for monthly plans, or the current annual term for annual plans. You keep access until then, your plan does not renew, and no further payments are charged.
No refunds. All fees are non-refundable, including for partial billing periods, unused capacity or features, downgrades, and periods in which you did not use the Service, except where a refund is required by law.
Price changes and taxes. We may change prices with at least 30 days’ notice before your next renewal. Fees do not include taxes, which you are responsible for where they apply. If a payment fails, we may pause sending until it is resolved.
11Mobile app
The Reflane mobile app is licensed, not sold, to you for use on devices you own or control, under these Terms. Push notifications are optional and can be turned off in your device settings; they do not include your contacts’ names or details. If you download the app from the Apple App Store: these Terms are between you and Reflane, not Apple; Apple has no obligation to provide maintenance or support for the app; if the app fails to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price, if any, and Apple has no other warranty obligation; Reflane, not Apple, is responsible for addressing any claims relating to the app, including product liability, legal or regulatory compliance and consumer protection claims, and any third-party claim that the app infringes intellectual property rights; you confirm you are not located in a country subject to a U.S. government embargo and are not on a U.S. government list of prohibited or restricted parties; and Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you. Your use of an app store is also subject to that store’s terms.
12Other services
The Service relies on third-party providers for hosting, email delivery, text messaging (where enabled), payments, AI drafting and app distribution. Their services are governed by their own terms, and Reflane is not responsible for their availability, acts or omissions. Links to other websites, such as scheduling or social media pages, are provided for convenience.
13Early and preview features
Features labeled early access, preview, beta or testing, including Cortex, are provided as they are, may change or be withdrawn at any time, and may not work as expected.
14Changes to the Service and suspension
We may change, add or remove features to improve the Service, meet legal requirements or protect users. If a change materially reduces the core features of your paid plan, we will tell you in advance and you may cancel. We may pause sending, imports or other features for all users, or suspend an account, where needed to protect recipients, deliverability, security or the Service, as section 5.11 also describes.
15Disclaimers
TO THE FULLEST EXTENT ALLOWED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE, THAT MESSAGES WILL BE DELIVERED, OR THAT AI-GENERATED CONTENT OR RECOMMENDATIONS WILL BE ACCURATE. REFLANE DOES NOT WARRANT THAT YOUR USE OF THE SERVICE WILL COMPLY WITH ANY LAW OR REGULATION.
16Limitation of liability
TO THE FULLEST EXTENT ALLOWED BY LAW, REFLANE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, CLIENTS, REFERRALS, DATA OR GOODWILL, OR FOR FINES, PENALTIES OR STATUTORY DAMAGES IMPOSED ON YOU, ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS. REFLANE’S TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID REFLANE FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITS APPLY WHATEVER THE LEGAL THEORY AND EVEN IF REFLANE WAS ADVISED THAT SUCH DAMAGES WERE POSSIBLE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITS, SO SOME OF THEM MAY NOT APPLY TO YOU.
17Your responsibility to protect Reflane
You will defend, indemnify and hold harmless Reflane and its officers, directors, employees, stockholders, agents and contractors from any claim, investigation, fine, penalty, loss, damage or expense, including reasonable attorneys’ fees, arising from: any matter described in section 5.9; your messages and outreach; your Permission Confirmations or your failure to make them accurately; your failure to obtain or honor consent or opt-outs; your Customer Data; your violation of these Terms; or your violation of any law, regulation or third-party right. Reflane may participate in the defense with counsel of its choice, and you may not settle a claim that imposes any obligation on Reflane without its written consent.
18Ending these Terms
You may stop using the Service and close your account at any time. We may suspend or end your access if you breach these Terms, create risk for recipients or for Reflane, or fail to pay. Sections 4, 5, 9 (as to your responsibilities and our retention rights), 15, 16, 17, 20 and 21 survive the end of these Terms.
19Changes to these Terms
We may update these Terms. If a change is material, we will give reasonable notice by email or in the Service before it takes effect, and we may ask you to accept the updated Terms. Continuing to use the Service after a change takes effect means you accept the updated Terms.
20Disputes and governing law
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. Before filing a claim, each party agrees to try to resolve the dispute informally by contacting the other and allowing 30 days to reach a resolution. Any claim that is not resolved informally will be brought only in the state or federal courts located in Delaware, and each party consents to their jurisdiction.
21General
These Terms, together with any order form or separate agreement and our privacy notices, are the entire agreement between you and Reflane about the Service. If any part of these Terms is found unenforceable, the rest stays in effect. Our failure to enforce a provision is not a waiver. Neither party is responsible for delays caused by events beyond its reasonable control. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. We may send you notices by email to your account address. Notices to Reflane go to hello@reflane.com.
